Moving Sustainability from Reporting to the Board Agenda
Corporate sustainability becomes strategy only when directors own it. A governance framework for boards in emerging markets.
Reporting is not governance
In most emerging-market companies, sustainability sits with a communications or compliance function that publishes an annual report. The board receives the document, notes it, and returns to financial performance. Nothing in that cycle changes capital allocation, risk appetite or executive incentives — which is where sustainability either becomes strategy or remains decoration.
Four board-level shifts
- Move sustainability oversight from a sub-committee footnote to a standing agenda item with decisions attached.
- Integrate environmental and social exposures into the enterprise risk register with owners and tolerances.
- Link a defined portion of executive variable pay to two or three verifiable non-financial measures.
- Require sustainability input on every capital expenditure above a set threshold.

Sequencing for the first year
Boards that attempt full-framework adoption in year one generally stall. A workable sequence is: agree materiality, fix data collection, set three targets, then align incentives. Disclosure follows capability; when it leads, the organisation reports what it cannot manage.
The test of board ownership is simple. If a sustainability consideration has never changed an investment, procurement or executive-pay decision, the board is receiving reports, not governing.
